Terms of service

These Terms of Service ("Terms") govern your access to and use of the ASG online store operated via Shopify (the "Store"), including any purchase of products and services offered through the Store. By visiting, browsing, or purchasing from the Store, you agree to be bound by these Terms.

• “ASG”, “we”, “us”, or “our” means Aviation Systems Group Ltd of 2 Bailey Hill, Castle Cary, Somerset BA7 7AD.
• “You” or “your” means the customer or user of the Store.
• “Products” means goods offered for sale through the Store, including (where applicable) DJI enterprise products and accessories.
• “Order” means a request submitted by you to purchase Products through the Store.

Eligibility

You must be at least 18 years old to place an Order.

You may use the Store and place Orders only if you can form a legally binding contract with ASG under applicable law. If you are purchasing on behalf of a business, you confirm that you have authority to bind that business to these Terms.

Accounts and Security

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to keep it updated.

Products, Information, and Availability

We may describe Products and their specifications, compatibility, and intended use on the Store. While we aim to keep information accurate, Product descriptions, images, specifications, and availability may change and may contain errors. We reserve the right to correct errors and to update information at any time without prior notice.

Pricing, Taxes, and Payment

Prices are shown in GBP unless stated otherwise and may exclude delivery charges. Applicable VAT and other taxes will be calculated and displayed at checkout (where required). Payment must be made using the payment methods offered at checkout. We may use Shopify and its payment processors to process payments.

Orders and Contract Formation

Submitting an Order constitutes an offer to purchase Products. An Order is not accepted until we confirm acceptance (for example, by sending an Order confirmation email or dispatch confirmation). We may refuse or cancel Orders in our discretion, including (without limitation) where Products are out of stock, pricing is incorrect, payment is not authorised, fraud is suspected, or where export/usage restrictions apply.

Delivery, Risk, and Title

Delivery options, estimated times, and charges are shown at checkout. Delivery dates are estimates only and are not guaranteed. Risk of loss or damage passes as follows: for consumer purchases, risk passes to you on delivery to the address provided in your Order (or to someone you nominate). For business purchases, risk passes as set out in our Shipping & Delivery Policy, unless we agree otherwise in writing. Title to Products passes to you once we have received full payment for the Products (including any delivery charges and taxes).

Cancellations, Returns, and Refunds

Our returns process and any eligibility criteria are described in our Returns Policy available on the Store. In addition to any statutory rights (where applicable), we offer a voluntary 50-day return window as described in the Returns Policy, subject to the stated conditions (for example, condition of the Products and any exclusions). Where you are a consumer (and not purchasing wholly or mainly for business purposes), you may have additional statutory rights, including under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Consumer Rights Act 2015. Nothing in these Terms limits or excludes your statutory consumer rights.

Warranties and Manufacturer Support

Products may be covered by a manufacturer’s warranty (for example, DJI’s warranty terms) and/or optional service plans (if offered). Manufacturer warranties and support terms are provided by the manufacturer, not ASG, unless we state otherwise in writing. To the extent permitted by law, we do not make any additional warranties beyond those expressly stated in these Terms or required by law.

Compliance, Export Controls, and End Use

You are responsible for ensuring that your purchase, possession, and use of Products complies with all applicable laws and regulations, including (where relevant) aviation rules, operator training requirements, registration obligations, local permissions, and privacy/data protection requirements. You also agree to comply with applicable trade sanctions and export control laws and not to export, re-export, transfer, or supply Products in violation of such laws.

Use of the Store

• You agree not to misuse the Store, including by attempting to gain unauthorised access, introducing malware, scraping or harvesting data, or interfering with the Store’s operation.
• You agree not to use the Store for unlawful, fraudulent, or abusive purposes.
• We may suspend or terminate your access to the Store if we reasonably believe you have breached these Terms or applicable law.

Intellectual Property

The Store and its content (including text, graphics, logos, product listings, and software) are owned by or licensed to ASG and are protected by intellectual property laws. You may view and use the Store for your personal or internal business purchasing purposes only and may not copy, modify, distribute, or create derivative works from any content without our prior written consent, except as permitted by law.

Third-Party Services (Including Shopify)

The Store is hosted on Shopify. Certain features (including payments, fraud screening, and checkout) may be provided by third parties under their own terms and privacy notices. We are not responsible for third-party services that are not under our control.

Privacy

We process personal data in accordance with our Privacy Policy available on the Store. Where you provide personal data of another person (for example, a delivery recipient), you confirm you have the right to provide that data to us.

Disclaimers

To the maximum extent permitted by law, the Store is provided on an "as is" and "as available" basis. We do not guarantee that the Store will be uninterrupted, secure, or error-free. Nothing in these Terms affects any mandatory rights you have under applicable consumer protection laws.

Limitation of Liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law. Subject to the foregoing, to the maximum extent permitted by law, ASG will not be liable for any indirect or consequential losses, loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of data. Our total liability arising out of or in connection with an Order (whether in contract, tort (including negligence), breach of statutory duty, or otherwise) will be limited to the amount paid by you for the Products giving rise to the claim.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless ASG from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your misuse of the Store, or your unlawful use of the Products.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer and local mandatory laws provide otherwise, you may bring proceedings in your local courts.

Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top indicates when changes were made. Changes will apply from the date the updated Terms are posted to the Store.

Miscellaneous

• Entire agreement: These Terms (together with any policies referenced in them, including the Returns & Refunds Policy, Shipping & Delivery Policy, Privacy Policy, Cookie Policy, and Contact & Company Information Notice) constitute the entire agreement between you and ASG relating to the Store and any Orders.
• Severability: If any provision of these Terms is found unlawful or unenforceable, the remaining provisions will remain in force.
• No waiver: If we do not enforce a provision of these Terms, that is not a waiver of our right to do so later.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms as part of a reorganisation, sale, or transfer of assets.
